Needitornah.com Membership Terms and Conditions

By applying for and maintaining a full/complete membership with Needitornah.com (“Needitornah,” “we,” “us,” or “our”), you (“Member,” “you,” or “your”) agree to be bound by these Terms and Conditions (“Terms”). Please read these Terms carefully before becoming a member.

1. Membership Agreement

These Terms constitute a legally binding agreement between you and Needitornah.com. By becoming a Member, you acknowledge that you have read, understood, and agree to be bound by these Terms.

2. Membership Eligibility and Application

• To become a Member, you must complete the membership application process provided by Needitornah.com.
• Following subscription, new members are required to complete the application process and communicate with our team during the initial development phase to facilitate website integration and feature setup.
• Needitornah offers three membership tiers: Standard, Premium, and (Full/Complete). The terms herein apply to the (Full/Complete) Membership.
• Needitornah reserves the right to accept or reject any membership application at its sole discretion.

3. Membership Fees and Payment

• The monthly membership fee for (Full/Complete) Membership is $200.00 (USD).
• Membership fees are payable in advance on a recurring monthly basis.
• Payment methods accepted will be specified on the Needitornah.com website.
• By providing your payment information, you authorize Needitornah to charge your chosen payment method the applicable monthly membership fee.
• Membership fees are non-refundable, except as expressly stated in these Terms or as required by applicable law.
• Needitornah reserves the right to change the membership fees upon thirty (30) days’ prior written notice to Members. Continued membership after the fee change constitutes acceptance of the new fees.

4. Website Compatibility and Access

• Compatible Existing Website: If you have an existing website that is compatible with our platform, you agree to grant Needitornah and its authorized team administrative editing access to your website for the purpose of integrating our membership features. You are responsible for ensuring the compatibility of your website.
• Needitornah-Created (Full/Complete) Website: If you do not have a compatible existing website, Needitornah can create a (Full/Complete) website to represent your business as part of your (Full/Complete) Membership. This (Full/Complete) website will include:

• Integration of our community features (Online Store, Community Directory, and Job Board).
• A comprehensive landing page with detailed content and information about your business.
• A dedicated “Store” page to showcase your menu, products, and/or services.
• A contact page for customer inquiries.
• A dedicated job board and employee application feature.
• Optional gallery to showcase your products or services (if applicable).
• Optional blog to provide updates and engage with your customers (if applicable).
• You acknowledge and agree that Needitornah retains ownership of the design and functionality of any website created by us. Upon termination of your membership, the Needitornah-created website may be discontinued.

5. Membership Features

As a Member of Needitornah.com, you will receive access to the following features:

• Online Store: Your business will have the opportunity to showcase its products, menus, and services within our community online store.
• Community Directory: Your business will be listed in our community directory, making it visible to local users and potential customers.
• Job Board: You will have the ability to post job openings within your company on our community job board.
• Website Integration: For both compatible existing websites and Needitornah-created (Full/Complete) websites, we will integrate all features, including a dedicated store page and your own job board and employee application feature.
• Platform Promotion: Your business will have the opportunity to be promoted on the Needitornah.com platform through various means, as determined by Needitornah.

6. Member Responsibilities

• You are responsible for the accuracy and legality of all information, content, products, services, and job postings you provide for inclusion on Needitornah.com and any integrated features on your website.
• You agree to maintain the security of your website login credentials and to promptly notify Needitornah of any unauthorized access or use.
• You agree to comply with all applicable laws and regulations in your business operations and any content you provide.
• You agree not to upload or transmit any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, libelous, invasive of another’s privacy, hateful, or racially, ethnically, or otherwise objectionable.
• If using a compatible existing website, you are responsible for ensuring that granting Needitornah administrative access does not violate any third-party agreements or negatively impact your website’s functionality.

7. Intellectual Property

• You retain ownership of your business name, logo, trademarks, and other intellectual property you provide. By submitting this content, you grant Needitornah a non-exclusive, royalty-free, worldwide license to use, display, and reproduce your intellectual property for the purpose of providing the membership features and promoting your business on our platform.
• Needitornah owns all rights, title, and interest in and to the Needitornah.com platform, including its design, software, and content (excluding Member-provided content). You agree not to reproduce, modify, distribute, or create derivative works based on the Needitornah.com platform without our express written consent.

8. Termination

• Termination by Member: You may terminate your membership at any time by providing written notice to Needitornah through the designated channels on our website. Termination will be effective at the end of your current billing cycle. No refunds will be provided for partial months.
• Termination by Needitornah: Needitornah reserves the right to suspend or terminate your membership at any time, with or without cause, including but not limited to:

• Breach of these Terms.
• Failure to pay membership fees on time.
• Engaging in conduct that Needitornah deems harmful to the platform or its members.
• Violation of applicable laws or regulations.
• Upon termination, your access to the membership features may cease, and if Needitornah created a (Full/Complete) website for you, we may discontinue it.

9. Disclaimer of Warranties

NEEDITORNAH.COM PROVIDES ITS SERVICES AND PLATFORM “AS IS” AND “AS AVAILABLE” WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. WE MAKE NO GUARANTEES REGARDING THE LEVEL OF VISIBILITY, TRAFFIC, OR SALES YOUR MEMBERSHIP MAY GENERATE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEEDITORNAH.COM SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES) ARISING OUT OF OR RELATING TO YOUR MEMBERSHIP, THESE TERMS, OR YOUR USE OF THE NEEDITORNAH.COM PLATFORM, EVEN IF NEEDITORNAH HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO YOUR MEMBERSHIP OR THESE TERMS SHALL NOT EXCEED THE TOTAL AMOUNT OF MEMBERSHIP FEES YOU HAVE PAID TO NEEDITORNAH IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless Needitornah.com, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to:

• Your use of the Needitornah.com platform and membership features.
• Any content you submit or transmit through the platform or your integrated website features.
• Your breach of these Terms.
• Your violation of any applicable law or regulation.
• Any claims arising from your products, services, or job postings.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Minnesota, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or your membership shall be exclusively brought in the state or federal courts located in Minnesota, and you hereby consent to the jurisdiction of such courts.

13. Entire Agreement

These Terms constitute the entire agreement between you and Needitornah.com regarding your membership and supersede all prior or contemporaneous communications and proposals, whether oral or written.

14. Modifications to these Terms

Needitornah reserves the right to modify these Terms at any time by posting the updated Terms on the Needitornah.com website. Your continued membership after the posting of revised Terms constitutes your acceptance of the changes. It is your responsibility to review these Terms periodically for any updates.
